Digital Tool Licensing Agreement
Software License Agreement
Should a Customer purchase any Probiz Consulting self-developed business efficiency digital tools, the following terms and conditions shall apply.
1. License Grant Probiz Consulting hereby grants to the Licensee a non-exclusive, non-transferable license to use the digital tool ("Software") under the terms and conditions set forth in this Agreement.
2. Restrictions The Licensee shall not:
Modify, adapt, translate, or create derivative works based on the Software.
Reverse engineer, decompile, or disassemble the Software.
Rent, lease, or sublicense the Software.
Distribute copies of the Software to third parties.
3. Ownership Probiz Consulting retains all rights, title and interest in and to the Software, including all intellectual property rights.
4. Term and Termination This Agreement is effective until terminated. The Licensee may terminate it at any time by destroying all copies of the Software. This Agreement will also terminate immediately if the Licensee fails to comply with any term or condition of this Agreement. Upon termination, the Licensee must destroy all copies of the Software.
5. Warranty Disclaimer Probiz Consulting Pty Ltd. sells this digital tool as fully tested and functional as per the current functionality scope. In the unlikely case that the Licensee experience any issues with the tool's functionality pertaining to the tool itself, Probiz Consulting Pty Ltd. will endeavour to remediate such tool issues and provide an updated version of the tool to the Licensee at no additional cost to the Licensee.
6. Limitation of Liability In no event shall Probiz Consulting be liable for any damages whatsoever (including, without limitation, damages for loss of business profits, business interruption, loss of business information or other pecuniary loss) arising out of the use or inability to use the Software, even if the Probiz Consulting has been advised of the possibility of such damages.
7. Governing Law This Agreement shall be governed by and construed in accordance with the laws of the Republic of South Africa.
8. Entire Agreement This Agreement constitutes the entire agreement between the parties and supersedes all prior or contemporaneous understandings or agreements, written or oral, regarding the subject matter of this Agreement.
